QuantumLock™ End User License Agreement (EULA)

ENGLISH VERSION​

1. ACCEPTANCE OF TERMS​

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("End User", "You", or "Your") and SoftQuantus innovative OÜ ("SoftQuantus", "We", "Us", or "Our") governing your use of the QuantumLock™ software and services (collectively, the "Service").

BY CLICKING "I ACCEPT", CREATING AN ACCOUNT, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to this Agreement.

2. DESCRIPTION OF SERVICE​

QuantumLock™ is a Licensing-as-a-Service (LaaS) platform that provides:

The Service uses quantum-derived entropy from the QCOS™ platform to generate cryptographically strong license signatures.

3. LICENSE GRANT​

3.1 Scope of License​

Subject to the terms of this Agreement and Your subscription plan, SoftQuantus grants You a limited, non-exclusive, non-transferable, revocable license to:

  • Access the QuantumLock™ API via authenticated endpoints
  • Integrate the SDK into Your applications
  • Generate license keys for Your end customers
  • Validate licenses using the provided tools
  • Embed the Validator component in Your distributed software

4. RESTRICTIONS​

You agree NOT to:

  1. Reverse Engineer: Decompile, disassemble, or attempt to derive source code from any compiled component
  2. Circumvent: Bypass or disable security features or license validation mechanisms
  3. Redistribute: Share, sell, or sublicense the Service or API credentials to third parties
  4. Compete: Use the Service to develop a competing licensing solution
  5. Abuse: Attempt to generate fraudulent licenses or exploit the Service
  6. Exceed Limits: Generate more licenses than permitted by Your subscription
  7. Misrepresent: Claim ownership of QuantumLock™ or misuse SoftQuantus trademarks

5. INTELLECTUAL PROPERTY​

5.1 Ownership​

SoftQuantus retains all right, title, and interest in the Service, including:

  • Source code and compiled binaries
  • Algorithms and cryptographic implementations
  • Trademarks: QuantumLock™, QCOS™, SoftQuantus™
  • Documentation and marketing materials
  • Quantum entropy generation methods

5.2 Your Content​

You retain ownership of:

  • Your application source code
  • License configurations and metadata
  • Customer data stored in the Service
  • Custom integrations You develop

6. DATA AND PRIVACY​

6.1 Data Collection​

We collect and process:

  • Account information (email, company name)
  • API usage metrics and logs
  • License generation and validation events
  • Error reports and diagnostics

6.2 Data Protection​

We implement industry-standard security measures:

  • TLS 1.3 encryption for all API communications
  • RSA-4096 + SHA3-512 for license signatures
  • Encrypted storage for sensitive data
  • Regular security audits

6.3 LGPD Compliance​

For users in Brazil, we comply with Lei Geral de Proteção de Dados (LGPD). See our Privacy Policy at https://softquantus.com/privacy.

7. SERVICE LEVEL​

7.2 Scheduled Maintenance​

We will provide 72 hours notice for scheduled maintenance that may affect service availability.

8. WARRANTY DISCLAIMER​

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

SOFTQUANTUS DISCLAIMS ALL WARRANTIES, INCLUDING:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation
  • Security against all threats

9. LIMITATION OF LIABILITY​

IN NO EVENT SHALL SOFTQUANTUS BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding fees paid in the prior 12 months
  • Service interruptions or data loss

MAXIMUM LIABILITY: Our total liability is limited to the greater of (a) USD $100 or (b) the fees You paid in the 12 months preceding the claim.

10. INDEMNIFICATION​

You agree to indemnify and hold harmless SoftQuantus from any claims, damages, or expenses arising from:

  • Your violation of this Agreement
  • Your use of the Service
  • Your end customers' use of licenses You generated
  • Infringement of third-party rights through Your applications

11. TERM AND TERMINATION​

11.1 Term​

This Agreement is effective from Your acceptance until terminated.

11.2 Termination by You​

You may terminate at any time by:

  1. Closing Your account
  2. Ceasing use of the Service
  3. Notifying us at support@softquantus.com

11.3 Termination by Us​

We may terminate immediately if You:

  • Violate this Agreement
  • Fail to pay applicable fees
  • Engage in fraudulent activity
  • Become insolvent

11.4 Effect of Termination​

Upon termination:

  • API access will be revoked
  • SDK/CLI functionality will be disabled
  • Existing licenses generated remain valid per their terms
  • You must delete all copies of proprietary components

12. GOVERNING LAW​

This Agreement is governed by the laws of the Republic of Estonia.

Disputes shall be resolved in the courts of Tallinn, Estonia.

13. CHANGES TO AGREEMENT​

We may update this Agreement with 30 days notice. Continued use after notice constitutes acceptance.

AO CLICAR EM "EU ACEITO", CRIAR UMA CONTA OU USAR O SERVIÇO, VOCÊ CONCORDA EM ESTAR VINCULADO A ESTE CONTRATO.

Se você está celebrando este Contrato em nome de uma empresa ou outra entidade legal, você declara ter autoridade para vincular tal entidade a este Contrato.

2. DESCRIÇÃO DO SERVIÇO​

QuantumLock™ é uma plataforma de Licensing-as-a-Service (LaaS) que fornece:

O Serviço utiliza entropia derivada de fontes quânticas da plataforma QCOS™ para gerar assinaturas de licença criptograficamente fortes.

3. CONCESSÃO DE LICENÇA​

3.1 Escopo da Licença​

Sujeito aos termos deste Contrato e ao seu plano de assinatura, a SoftQuantus concede a Você uma licença limitada, não exclusiva, intransferível e revogável para:

  • Acessar a API QuantumLock™ via endpoints autenticados
  • Integrar o SDK em Suas aplicações
  • Gerar chaves de licença para Seus clientes finais
  • Validar licenças usando as ferramentas fornecidas
  • Embutir o componente Validator em Seu software distribuído

4. RESTRIÇÕES​

Você concorda em NÃO:

  1. Engenharia Reversa: Descompilar, desmontar ou tentar derivar código-fonte de qualquer componente compilado
  2. Contornar: Burlar ou desabilitar recursos de segurança ou mecanismos de validação de licença
  3. Redistribuir: Compartilhar, vender ou sublicenciar o Serviço ou credenciais de API para terceiros
  4. Competir: Usar o Serviço para desenvolver uma solução de licenciamento concorrente
  5. Abusar: Tentar gerar licenças fraudulentas ou explorar o Serviço
  6. Exceder Limites: Gerar mais licenças do que permitido pela Sua assinatura
  7. Deturpar: Reivindicar propriedade do QuantumLock™ ou usar indevidamente marcas da SoftQuantus

5. PROPRIEDADE INTELECTUAL​

5.1 Propriedade​

A SoftQuantus retém todo direito, título e interesse no Serviço, incluindo:

  • Código-fonte e binários compilados
  • Algoritmos e implementações criptográficas
  • Marcas registradas: QuantumLock™, QCOS™, SoftQuantus™
  • Documentação e materiais de marketing
  • Métodos de geração de entropia quântica

5.2 Seu Conteúdo​

Você retém a propriedade de:

  • Código-fonte da Sua aplicação
  • Configurações de licença e metadados
  • Dados de clientes armazenados no Serviço
  • Integrações personalizadas que Você desenvolve

6. DADOS E PRIVACIDADE​

6.1 Coleta de Dados​

Coletamos e processamos:

  • Informações da conta (email, nome da empresa)
  • Métricas de uso da API e logs
  • Eventos de geração e validação de licenças
  • Relatórios de erros e diagnósticos

6.2 Proteção de Dados​

Implementamos medidas de segurança padrão da indústria:

  • Criptografia TLS 1.3 para todas as comunicações da API
  • RSA-4096 + SHA3-512 para assinaturas de licença
  • Armazenamento criptografado para dados sensíveis
  • Auditorias de segurança regulares

6.3 Conformidade com a LGPD​

8. ISENÇÃO DE GARANTIA​

O SERVIÇO É FORNECIDO "COMO ESTÁ" E "CONFORME DISPONÍVEL" SEM GARANTIAS DE QUALQUER TIPO, EXPRESSAS OU IMPLÍCITAS.

A SOFTQUANTUS ISENTA-SE DE TODAS AS GARANTIAS, INCLUINDO:

  • Comercialização
  • Adequação a um propósito específico
  • Não violação
  • Operação ininterrupta ou livre de erros
  • Segurança contra todas as ameaças

9. LIMITAÇÃO DE RESPONSABILIDADE​

EM NENHUM CASO A SOFTQUANTUS SERÁ RESPONSÁVEL POR:

  • Danos indiretos, incidentais ou consequentes
  • Perda de lucros, dados ou oportunidades de negócios
  • Danos que excedam as taxas pagas nos 12 meses anteriores
  • Interrupções de serviço ou perda de dados

RESPONSABILIDADE MÁXIMA: Nossa responsabilidade total é limitada ao maior entre (a) R$ 500 ou (b) as taxas que Você pagou nos 12 meses anteriores à reclamação.

10. INDENIZAÇÃO​

Você concorda em indenizar e isentar a SoftQuantus de quaisquer reclamações, danos ou despesas decorrentes de:

  • Sua violação deste Contrato
  • Seu uso do Serviço
  • O uso de licenças que Você gerou por Seus clientes finais
  • Violação de direitos de terceiros através de Suas aplicações

11. PRAZO E RESCISÃO​

11.1 Prazo​

Este Contrato é efetivo a partir de Sua aceitação até ser rescindido.

11.2 Rescisão por Você​

Você pode rescindir a qualquer momento:

  1. Fechando Sua conta
  2. Cessando o uso do Serviço
  3. Notificando-nos em support@softquantus.com

11.3 Rescisão por Nós​

Podemos rescindir imediatamente se Você:

  • Violar este Contrato
  • Deixar de pagar as taxas aplicáveis
  • Engajar-se em atividade fraudulenta
  • Tornar-se insolvente

11.4 Efeitos da Rescisão​

Após a rescisão:

  • O acesso à API será revogado
  • A funcionalidade do SDK/CLI será desabilitada
  • Licenças existentes geradas permanecem válidas conforme seus termos
  • Você deve excluir todas as cópias de componentes proprietários

12. LEI APLICÁVEL​

Este Contrato é regido pelas leis da República da Estônia.

Disputas serão resolvidas nos tribunais de Tallinn, Estônia.

13. ALTERAÇÕES AO CONTRATO​

Podemos atualizar este Contrato com aviso de 30 dias. O uso continuado após o aviso constitui aceitação.
