1. INTRODUCTION
Welcome to QuantumLock™, a Licensing-as-a-Service (LaaS) platform operated by SoftQuantus innovative OÜ ("SoftQuantus", "we", "us", or "our").
These Terms of Service ("Terms") govern your access to and use of the QuantumLock™ platform, including our website, API, SDK, CLI, and related services (collectively, the "Service").
Please read these Terms carefully before using our Service.
2. AGREEMENT TO TERMS
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
These Terms apply to:
- All visitors, users, and others who access or use the Service
- Developers integrating the SDK or API
- Companies using the Service to protect their software products
3. ACCOUNT REGISTRATION
3.1 Account Creation
To use certain features of the Service, you must register for an account by providing:
- Valid email address
- Company name (if applicable)
- Billing information (for paid plans)
3.2 Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Keeping your account information accurate and up-to-date
3.3 Account Security
We implement security measures including:
- API key authentication
- Rate limiting
- Activity logging
- Suspicious activity detection

- Customer Management: Track and manage end-customer licenses

5.2 Pricing

5.3 Billing
- Subscription fees are billed monthly or annually in advance
- Accepted payment methods: Credit card, Wire transfer (Enterprise)
- Invoices are issued electronically
- Late payments may result in service suspension
6. SERVICE LEVEL AGREEMENT (SLA)
6.1 Uptime Commitment

6.2 Exclusions
SLA does not apply to:
- Scheduled maintenance (72-hour notice provided)
- Force majeure events
- Customer-caused issues
- Third-party service failures
- API misuse or rate limit violations
6.3 Service Credits

7. ACCEPTABLE USE
7.1 Permitted Use
You may use the Service to:
- Generate licenses for your software products
- Validate licenses in your applications
- Integrate the SDK into your codebase
- Access the API within your rate limits
- Manage your licensing operations via the Portal
7.2 Prohibited Use
You may NOT:
- Illegal Activities: Use the Service for any unlawful purpose
- Abuse: Overload, flood, or disrupt the Service
- Reverse Engineering: Attempt to access source code
- Competition: Build a competing licensing service
- Fraud: Generate fake or unauthorized licenses
- Credential Sharing: Share API keys with unauthorized parties
- Circumvention: Bypass security or rate limiting
- Malware: Distribute malicious code via the Service
- Resale: Resell the Service without authorization
8. API USAGE

All API requests must include valid authentication:

9. DATA HANDLING
9.1 Data We Store
- Account information
- License metadata and configurations
- API request logs (30-day retention)
- Usage analytics
- Payment records
9.2 Data We Don't Store
- Your application source code
- Your end-customers' personal data
- License validation request payloads (beyond logging)
9.3 Data Security
We implement:
- TLS 1.3 for all transmissions
- AES-256 encryption at rest
- Regular security audits
- Access logging and monitoring
9.4 Data Portability
You can export your data at any time via:
- Portal dashboard
- API export endpoints
- Support request
10. INTELLECTUAL PROPERTY
10.1 Our IP
SoftQuantus owns all rights to:
- The QuantumLock™ platform and technology
- QuantumLock™, QCOS™, and SoftQuantus™ trademarks
- Documentation and marketing materials
- Proprietary algorithms and methods
10.2 Your IP
You retain all rights to:
- Your software applications
- License configurations you create
- Data you upload or generate
10.3 Feedback
If you provide feedback or suggestions, we may use them without obligation to you.
11. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- MERCHANTABILITY: Fitness for general commercial use
- FITNESS FOR PURPOSE: Suitability for your specific needs
- NON-INFRINGEMENT: Freedom from third-party claims
- RELIABILITY: Uninterrupted or error-free operation
- SECURITY: Protection against all threats
- QUANTUM PROPERTIES: Specific quantum entropy characteristics
12. LIMITATION OF LIABILITY
12.1 Exclusions
IN NO EVENT SHALL WE BE LIABLE FOR:
- Indirect, incidental, or consequential damages
- Lost profits or data
- Business interruption
- Loss of goodwill
- Damages from unauthorized access
12.2 Cap
OUR TOTAL LIABILITY SHALL NOT EXCEED:
- The greater of USD $100 or
- The fees you paid in the 12 months preceding the claim
12.3 Essential Purpose
These limitations apply even if remedies fail their essential purpose.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless SoftQuantus and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your end-customers' use of licenses you generated
14. MODIFICATIONS TO SERVICE
We may:
- Add, modify, or remove features
- Change pricing with 30-day notice
- Discontinue the Service with 90-day notice
We will notify you of material changes via:
- Email to your registered address
- Portal notifications
- Our status page
15. TERMINATION
15.1 By You
You may terminate at any time by:
- Closing your account in the Portal
- Contacting support@softquantus.com
15.2 By Us
We may terminate or suspend your access:
- Immediately for Terms violations
- With 30-day notice for other reasons
15.3 Effect of Termination
Upon termination:
- API access will be revoked
- Data will be deleted after 30 days
- Outstanding fees remain due
- Existing licenses continue to validate per their terms
16. GOVERNING LAW
These Terms are governed by the laws of the Republic of Estonia.
Any disputes shall be resolved exclusively in the courts of Tallinn, Estonia.
17. DISPUTE RESOLUTION
Before filing any claim, you agree to attempt to resolve disputes informally by contacting legal@softquantus.com.
If we cannot resolve a dispute within 30 days, you may pursue formal proceedings.
18. GENERAL PROVISIONS
18.1 Entire Agreement
These Terms, together with the Privacy Policy and EULA, constitute the entire agreement between you and SoftQuantus.
18.2 Severability
If any provision is held invalid, the remaining provisions remain in effect.
18.3 Waiver
Our failure to enforce a right does not waive that right.
18.4 Assignment
You may not assign these Terms. We may assign them freely.
18.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.

Estes Termos de Serviço ("Termos") regem seu acesso e uso da plataforma QuantumLock™, incluindo nosso website, API, SDK, CLI e serviços relacionados (coletivamente, o "Serviço").

2. CONCORDÂNCIA COM OS TERMOS
Ao acessar ou usar nosso Serviço, você concorda em estar vinculado a estes Termos. Se você discordar de qualquer parte dos Termos, não poderá acessar o Serviço.

- Todos os visitantes, usuários e outros que acessam ou usam o Serviço

Você é responsável por:
- Manter a confidencialidade das suas credenciais de conta
- Todas as atividades que ocorrem sob sua conta
- Nos notificar imediatamente de qualquer acesso não autorizado
- Manter as informações da sua conta precisas e atualizadas
3.3 Segurança da Conta
Implementamos medidas de segurança incluindo:
- Autenticação por chave de API
- Limitação de taxa
- Registro de atividades
- Detecção de atividades suspeitas

- Análise de Uso: Monitorar métricas de geração e validação de licenças
- Gerenciamento de Clientes: Rastrear e gerenciar licenças de clientes finais

5.3 Faturamento
- Taxas de assinatura são cobradas mensal ou anualmente antecipadamente
- Métodos de pagamento aceitos: Cartão de crédito, Transferência bancária (Enterprise)
- Faturas são emitidas eletronicamente
- Pagamentos atrasados podem resultar em suspensão do serviço

6.2 Exclusões
SLA não se aplica a:
- Manutenção programada (aviso de 72 horas fornecido)
- Eventos de força maior
- Problemas causados pelo cliente
- Falhas de serviços de terceiros
- Uso indevido de API ou violações de limite de taxa
6.3 Créditos de Serviço

7. USO ACEITÁVEL
7.1 Uso Permitido
Você pode usar o Serviço para:
- Gerar licenças para seus produtos de software
- Validar licenças em suas aplicações
- Integrar o SDK em sua base de código
- Acessar a API dentro dos seus limites de taxa
- Gerenciar suas operações de licenciamento via Portal
7.2 Uso Proibido
Você NÃO pode:
- Atividades Ilegais: Usar o Serviço para qualquer propósito ilegal
- Abuso: Sobrecarregar, inundar ou interromper o Serviço
- Engenharia Reversa: Tentar acessar código-fonte
- Competição: Construir um serviço de licenciamento concorrente
- Fraude: Gerar licenças falsas ou não autorizadas
- Compartilhamento de Credenciais: Compartilhar chaves de API com partes não autorizadas
- Contorno: Burlar segurança ou limitação de taxa
- Malware: Distribuir código malicioso via o Serviço
- Revenda: Revender o Serviço sem autorização
8. USO DE API
8.1 Limites de Taxa

- Seu código-fonte da aplicação
- Dados pessoais dos seus clientes finais
- Payloads de requisições de validação de licença (além do log)
9.3 Segurança de Dados
Implementamos:
- TLS 1.3 para todas as transmissões
- Criptografia AES-256 em repouso
- Auditorias de segurança regulares
- Registro e monitoramento de acesso
9.4 Portabilidade de Dados
Você pode exportar seus dados a qualquer momento via:
- Dashboard do Portal
- Endpoints de exportação da API
- Solicitação de suporte
10. PROPRIEDADE INTELECTUAL
10.1 Nossa PI
A SoftQuantus possui todos os direitos sobre:
- A plataforma e tecnologia QuantumLock™
- Marcas QuantumLock™, QCOS™ e SoftQuantus™
- Documentação e materiais de marketing
- Algoritmos e métodos proprietários
10.2 Sua PI
Você retém todos os direitos sobre:
- Suas aplicações de software
- Configurações de licença que você cria
- Dados que você carrega ou gera
10.3 Feedback
Se você fornecer feedback ou sugestões, podemos usá-los sem obrigação para você.
11. ISENÇÃO DE GARANTIAS
O SERVIÇO É FORNECIDO "COMO ESTÁ" E "CONFORME DISPONÍVEL" SEM GARANTIAS DE QUALQUER TIPO.
ISENTAMO-NOS DE TODAS AS GARANTIAS, EXPRESSAS OU IMPLÍCITAS, INCLUINDO:
- COMERCIALIZAÇÃO: Adequação para uso comercial geral
- ADEQUAÇÃO AO PROPÓSITO: Adequação às suas necessidades específicas
- NÃO VIOLAÇÃO: Liberdade de reclamações de terceiros
- CONFIABILIDADE: Operação ininterrupta ou livre de erros
- SEGURANÇA: Proteção contra todas as ameaças
- PROPRIEDADES QUÂNTICAS: Características específicas de entropia quântica
12. LIMITAÇÃO DE RESPONSABILIDADE
12.1 Exclusões
EM NENHUM CASO SEREMOS RESPONSÁVEIS POR:
- Danos indiretos, incidentais ou consequentes
- Lucros ou dados perdidos
- Interrupção de negócios
- Perda de boa vontade
- Danos de acesso não autorizado
12.2 Limite
NOSSA RESPONSABILIDADE TOTAL NÃO EXCEDERÁ:
- O maior entre R$ 500 ou
- As taxas que você pagou nos 12 meses anteriores à reclamação
12.3 Propósito Essencial
Essas limitações se aplicam mesmo se os remédios falharem em seu propósito essencial.
13. INDENIZAÇÃO
Você concorda em indenizar, defender e isentar a SoftQuantus e seus diretores, funcionários e agentes de quaisquer reclamações, danos, perdas, responsabilidades e despesas decorrentes de:
- Seu uso do Serviço
- Sua violação destes Termos
- Sua violação de quaisquer direitos de terceiros
- O uso de licenças que você gerou por seus clientes finais
14. MODIFICAÇÕES NO SERVIÇO
Podemos:
- Adicionar, modificar ou remover recursos
- Alterar preços com aviso de 30 dias
- Descontinuar o Serviço com aviso de 90 dias
Notificaremos você de mudanças materiais via:
- Email para seu endereço registrado
- Notificações do Portal
- Nossa página de status
15. RESCISÃO
15.1 Por Você
Você pode rescindir a qualquer momento:
- Fechando sua conta no Portal
- Contatando support@softquantus.com
15.2 Por Nós
Podemos rescindir ou suspender seu acesso:
- Imediatamente por violações dos Termos
- Com aviso de 30 dias por outros motivos
15.3 Efeito da Rescisão
Após a rescisão:
- O acesso à API será revogado
- Os dados serão excluídos após 30 dias
- Taxas pendentes permanecem devidas
- Licenças existentes continuam a validar conforme seus termos
16. LEI APLICÁVEL
Estes Termos são regidos pelas leis da República da Estônia.
Quaisquer disputas serão resolvidas exclusivamente nos tribunais de Tallinn, Estônia.
17. RESOLUÇÃO DE DISPUTAS
Antes de registrar qualquer reclamação, você concorda em tentar resolver disputas informalmente contatando legal@softquantus.com.
Se não pudermos resolver uma disputa dentro de 30 dias, você pode prosseguir com procedimentos formais.
18. DISPOSIÇÕES GERAIS
18.1 Acordo Integral
Estes Termos, juntamente com a Política de Privacidade e EULA, constituem o acordo integral entre você e a SoftQuantus.
18.2 Divisibilidade
Se qualquer disposição for considerada inválida, as disposições restantes permanecem em vigor.
18.3 Renúncia
Nossa falha em aplicar um direito não renuncia a esse direito.
18.4 Cessão
Você não pode ceder estes Termos. Podemos cedê-los livremente.
18.5 Força Maior
Não somos responsáveis por atrasos ou falhas devido a circunstâncias além do nosso controle razoável.
