1. INTRODUCTION
Welcome to QCOS™ (Quantum Circuit Optimization Service), operated by SoftQuantus innovative OÜ ("SoftQuantus", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our quantum circuit optimization platform, including our website, APIs, SDKs, CLI tools, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
2. DEFINITIONS

3. ACCOUNT REGISTRATION
3.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent that:
- You have the authority to bind yourself or your organization
- All registration information is accurate and current
- You will maintain the security of your credentials
3.2 Account Security
You are responsible for:
- Maintaining confidentiality of your API keys
- All activities under your Account
- Notifying us immediately of unauthorized access
- Not sharing credentials with third parties
4. SERVICE DESCRIPTION
4.1 Core Services
QCOS™ provides quantum circuit optimization services including:

4.2 HPC Infrastructure
The QCOS™ Worker runs on the LUMI supercomputer operated by CSC (Finnish IT Center for Science). Service availability depends on:
- LUMI operational status
- Compute allocation availability
- Scheduled maintenance windows
4.3 API Access
API access is provided according to your Subscription plan:

5. SUBSCRIPTION PLANS
5.1 Available Plans

5.2 Billing
- Professional plans are billed monthly or annually
- Annual plans receive a 20% discount
- Enterprise plans are invoiced per agreement
- All prices are in EUR, exclusive of VAT
5.3 Payment Terms
- Payment is due at the beginning of each billing period
- We accept credit cards, bank transfer, and invoice (Enterprise)
- Late payments may result in service suspension
- Failed payments will be retried for 7 days
5.4 Refunds
- Monthly subscriptions: No refunds for partial months
- Annual subscriptions: Pro-rata refund within first 30 days
- Enterprise: Per contract terms
6. ACCEPTABLE USE
6.1 Permitted Use
You may use the Service to:
- Optimize quantum circuits for research and development
- Integrate with your quantum computing workflows
- Build applications leveraging our optimization
- Access results through our API
6.2 Prohibited Use
You may NOT:
- Abuse the Service: Submit malformed inputs to crash or overload systems
- Reverse Engineer: Attempt to extract our optimization algorithms
- Circumvent Limits: Bypass rate limits or quotas
- Share Access: Provide credentials to unauthorized users
- Resell: Offer optimization as a competing service
- Illegal Activity: Use for any unlawful purpose
- Harm Infrastructure: Attack, hack, or compromise our systems
- Spam: Submit automated requests beyond reasonable use
6.3 Enforcement
Violations may result in:
- Warning and request to cease behavior
- Temporary suspension of access
- Permanent account termination
- Legal action where appropriate
7. INTELLECTUAL PROPERTY
7.1 Our Rights
SoftQuantus owns all rights to:
- The Service and its components
- QCOS™, QuantumLock™, and SoftQuantus™ trademarks
- Optimization algorithms and AI models
- Documentation and marketing materials
- APIs, SDKs, and CLI tools
7.2 Your Rights
You retain all rights to:
- Quantum circuits you submit (inputs)
- Optimized circuits you receive (outputs)
- Applications you build using our SDK
- Your proprietary algorithms and data
7.3 License to Us
By submitting circuits, you grant us a limited license to:
- Process your circuits for optimization
- Store results temporarily for retrieval
- Generate anonymized usage statistics
- Improve our services based on aggregated patterns
We do NOT claim ownership of your circuits or use them for training without consent.
8. DATA HANDLING

8.3 Data Security
We implement:

- Encryption at rest for stored data
- Access controls and audit logging
- Regular security assessments
- EU-based infrastructure (GDPR compliant)
8.4 GDPR Rights
As an EU data controller, we provide:
- Right to access your data
- Right to rectification
- Right to erasure ("right to be forgotten")
- Right to data portability
- Right to object to processing

9. SERVICE LEVELS

9.2 Exclusions
Downtime excludes:
- Scheduled maintenance (72h notice)
- Force majeure events
- Third-party failures (LUMI, CSC)
- Customer-caused issues
9.3 Credits (Enterprise)
Enterprise customers may receive service credits for downtime exceeding SLA commitments, as defined in their agreement.
10. SUPPORT

We do NOT provide:
- Custom algorithm development
- Quantum computing tutorials
- Third-party integration support
- On-site assistance (except Enterprise)
11. WARRANTIES AND DISCLAIMERS
11.1 Service Warranty
We warrant that:
- The Service will perform substantially as documented
- We will use reasonable efforts to maintain availability
- We comply with applicable laws and regulations
11.2 Disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OF RESULTS
- UNINTERRUPTED OPERATION
12. LIMITATION OF LIABILITY
12.1 Exclusions
IN NO EVENT SHALL SOFTQUANTUS BE LIABLE FOR:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or data
- Business interruption
- Cost of substitute services
12.2 Cap on Liability
OUR TOTAL LIABILITY SHALL NOT EXCEED:
- Free tier: €0
- Professional: Fees paid in prior 12 months
- Enterprise: Per contract terms, minimum €10,000
13. INDEMNIFICATION
You agree to indemnify SoftQuantus against claims arising from:
- Your violation of these Terms
- Your use of the Service
- Your quantum applications
- Infringement of third-party rights
14. TERM AND TERMINATION
14.1 Term
These Terms are effective upon your first use of the Service and continue until terminated.
14.2 Termination by You
You may terminate by:
- Canceling your subscription
- Closing your account
- Notifying us at support@softquantus.com
14.3 Termination by Us
We may terminate if you:
- Violate these Terms
- Fail to pay fees
- Engage in abusive behavior
- Request account closure
14.4 Effect of Termination
Upon termination:
- Access to the Service ends immediately
- Pending jobs may be cancelled
- Results remain available for 30 days
- We may retain data as required by law
15. CHANGES TO TERMS
We may modify these Terms with 30 days notice via:
- Email to your registered address
- Notice on our website
- In-app notification
Continued use after notice constitutes acceptance.
16. GOVERNING LAW
These Terms are governed by the laws of the Republic of Estonia.
Disputes shall be resolved in the courts of Tallinn, Estonia.
17. MISCELLANEOUS
17.1 Entire Agreement
These Terms, along with the EULA and Privacy Policy, constitute the entire agreement.
17.2 Severability
If any provision is unenforceable, the remainder continues in effect.
17.3 Waiver
Failure to enforce a right does not waive that right.
17.4 Assignment
You may not assign these Terms. We may assign freely.
17.5 Force Majeure
We are not liable for failures due to circumstances beyond our control.

Ao acessar ou usar o Serviço, você concorda em estar vinculado a estes Termos. Se você discordar de qualquer parte dos Termos, não poderá acessar o Serviço.

3. REGISTO DE CONTA
3.1 Elegibilidade
Você deve ter pelo menos 18 anos e ser capaz de formar um contrato vinculativo para usar o Serviço. Ao se registrar, você declara que:
- Tem autoridade para vincular a si mesmo ou à sua organização
- Todas as informações de registro são precisas e atuais
- Manterá a segurança das suas credenciais
3.2 Segurança da Conta
Você é responsável por:
- Manter a confidencialidade das suas chaves de API
- Todas as atividades sob a sua Conta
- Notificar-nos imediatamente de acesso não autorizado
- Não compartilhar credenciais com terceiros
4. DESCRIÇÃO DO SERVIÇO
4.1 Serviços Principais
O QCOS™ fornece serviços de otimização de circuitos quânticos, incluindo:

- Disponibilidade de alocação de computação
- Janelas de manutenção programada

6. USO ACEITÁVEL
6.1 Uso Permitido
Você pode usar o Serviço para:
- Otimizar circuitos quânticos para pesquisa e desenvolvimento
- Integrar com seus fluxos de trabalho de computação quântica
- Construir aplicações aproveitando nossa otimização
- Acessar resultados através da nossa API
6.2 Uso Proibido
Você NÃO pode:
- Abusar do Serviço: Submeter entradas malformadas para crashar ou sobrecarregar sistemas
- Engenharia Reversa: Tentar extrair nossos algoritmos de otimização
- Contornar Limites: Burlar rate limits ou quotas
- Compartilhar Acesso: Fornecer credenciais a utilizadores não autorizados
- Revender: Oferecer otimização como um serviço concorrente
- Atividade Ilegal: Usar para qualquer propósito ilegal
- Danificar Infraestrutura: Atacar, hackear ou comprometer nossos sistemas
- Spam: Submeter pedidos automatizados além do uso razoável
7. PROPRIEDADE INTELECTUAL
7.1 Nossos Direitos
A SoftQuantus possui todos os direitos sobre:
- O Serviço e seus componentes
- Marcas QCOS™, QuantumLock™ e SoftQuantus™
- Algoritmos de otimização e modelos de IA
- Documentação e materiais de marketing
- APIs, SDKs e ferramentas CLI
7.2 Seus Direitos
Você retém todos os direitos sobre:
- Circuitos quânticos que você submete (entradas)
- Circuitos otimizados que você recebe (saídas)
- Aplicações que você constrói usando nosso SDK
- Seus algoritmos e dados proprietários

11.2 Isenção
O SERVIÇO É FORNECIDO "COMO ESTÁ" SEM GARANTIA DE QUALQUER TIPO, EXPRESSA OU IMPLÍCITA. NÓS ISENTAMO-NOS DE:
- COMERCIALIZAÇÃO
- ADEQUAÇÃO A UM PROPÓSITO ESPECÍFICO
- NÃO VIOLAÇÃO
- PRECISÃO DOS RESULTADOS
- OPERAÇÃO ININTERRUPTA
12. LIMITAÇÃO DE RESPONSABILIDADE
12.1 Exclusões
EM NENHUM CASO A SOFTQUANTUS SERÁ RESPONSÁVEL POR:
- Danos indiretos, incidentais ou consequentes
- Perda de lucros, receitas ou dados
- Interrupção de negócios
- Custo de serviços substitutos
12.2 Limite de Responsabilidade
NOSSA RESPONSABILIDADE TOTAL NÃO EXCEDERÁ:
- Tier gratuito: €0
- Profissional: Taxas pagas nos 12 meses anteriores
- Empresarial: Por termos do contrato, mínimo €10.000
13. INDENIZAÇÃO
Você concorda em indenizar a SoftQuantus contra reclamações decorrentes de:
- Sua violação destes Termos
- Seu uso do Serviço
- Suas aplicações quânticas
- Violação de direitos de terceiros
14. PRAZO E RESCISÃO
14.1 Prazo
Estes Termos são efetivos a partir do seu primeiro uso do Serviço e continuam até serem rescindidos.
14.2 Rescisão por Você
Você pode rescindir:
- Cancelando sua assinatura
- Fechando sua conta
- Notificando-nos em support@softquantus.com
14.3 Rescisão por Nós
Podemos rescindir se você:
- Violar estes Termos
- Deixar de pagar taxas
- Engajar-se em comportamento abusivo
- Solicitar encerramento de conta
15. ALTERAÇÕES AOS TERMOS
Podemos modificar estes Termos com aviso de 30 dias via:
- Email para o seu endereço registrado
- Aviso no nosso website
- Notificação in-app
O uso continuado após o aviso constitui aceitação.
16. LEI APLICÁVEL
Estes Termos são regidos pelas leis da República da Estónia.
Disputas serão resolvidas nos tribunais de Tallinn, Estónia.
